Payment and Refund Policy

1. INCORPORATION, BINDING EFFECT & HIERARCHY
This Payment and Refund Policy ("Policy") is an integral, binding, and incorporated part of the Web Dance Pty. Ltd Terms of Service (the "Master Terms") and the Acceptable Use Policy. It governs all financial transactions, including subscriptions, direct Stripe payments, company wallet top-ups, certification assessments, and the Web Dance Referral Program. By initiating any payment or participating in the Referral Program, you agree to be bound by this Policy. Capitalized terms not defined herein have the meanings in the Master Terms. In the event of any conflict, the order of precedence is: (1) this Policy for specific payment/refund/referral matters; (2) the Master Terms; (3) other referenced policies.
2. GENERAL PAYMENT TERMS
2.1 Currency & Pricing
All fees for our Services ("Fees") are quoted and processed in Australian Dollars (AUD). Prices are exclusive of all taxes, duties, and levies (including GST). We reserve the right to correct pricing errors and charge the correct price or cancel the transaction.
2.2 Payment Authorization
You authorize Web Dance Pty. Ltd (ABN 50 666 082 079) ("Company," "we," "us," "our") to charge your designated payment method for all Fees. You warrant you have the legal right to use the payment method and that all billing information is accurate.
2.3 Third-Party Payment Processor
Payments are processed by Stripe, Inc. Your payment data is handled by Stripe under its own terms and privacy policy. We do not store full payment card details. We are not liable for Stripe's acts or omissions.
2.4 Taxes
You are responsible for all taxes associated with your purchases. We calculate and charge GST for taxable supplies to Australian customers. For international users, you are responsible for determining, self-assessing, and remitting any applicable VAT, sales tax, or similar taxes in your jurisdiction. We may request relevant registration numbers (e.g., ABN, VAT number) for tax determination purposes where applicable.
2.5 Failed Payments & Account Suspension
If a payment fails, we may retry the charge. Continued failure will result in immediate suspension of all Paid Services (including certification submission, company wallet use, and Referral Program access). Services resume only upon receipt of full payment of all outstanding amounts. We are not liable for any loss or damage resulting from suspension.
2.6 No Employment Relationship
The payment of Fees under this Policy is for access to the Company's Services as a user. This does not create an employment, contractor, partnership, joint venture, or agency relationship between you and the Company. You are solely responsible for all taxes, levies, and statutory contributions (including income tax, GST/VAT, payroll tax, and superannuation) arising from your use of the Services or earnings from the Referral Program in your jurisdiction. The Company has no obligation to withhold, report, or pay any taxes on your behalf unless explicitly required by Australian law for transactions with us.
3. SUBSCRIPTION PLANS & BILLING CYCLES
3.1 Subscription Tiers
We offer the following plans, each available on a monthly or annual billing cycle and managed through the Stripe billing portal:
- Individual: Pay As You Go, Starter, Pro, Power.
- Organisation: Workforce, Enterprise, and Custom (Custom is arranged by agreement).
Legacy tier names (including "Plus", "Business", "Team" and "Business Plan") may still appear on older accounts and are mapped to their current equivalents. Individual products may also be purchased one-off via Stripe card checkout at the listed AUD price without a subscription.
3.2 Recurring Billing & Authorization
All paid plans (other than Pay As You Go) are subscription services with automatic renewal. You authorise recurring charges to your payment method. Your subscription renews automatically at the end of each billing period at the then-current rates unless you cancel before the renewal date.
3.3 Plan Changes
- Upgrades: Upgrading your plan results in an immediate, prorated charge for the higher tier for the remainder of your current billing cycle.
- Downgrades: Downgrading takes effect at the start of your next billing cycle. No refunds are provided for the unused portion of a higher-tier plan.
4. DIRECT PAYMENTS & COMPANY WALLET
4.1 Individual pay-per-use (Stripe checkout)
Courses, AI model certification, and the AI Policy Generator are purchased individually via Stripe card checkout at prices shown in the product (typically AUD $29 per use). Payment is required before the service is delivered. These are one-time, non-refundable digital purchases except as required by non-excludable consumer law.
4.2 Company AUD wallet
Approved company administrators may top up an organisation wallet in Australian dollars via Stripe. Wallet funds are used to pay for team training invitations and policy acknowledgment seats at published per-seat prices. Wallet top-ups are non-refundable except as required by law. Unused wallet balance remains available for future invitations until the account is closed or funds are otherwise handled per the Master Terms.
4.3 Pricing changes
We reserve the right to adjust published prices at any time. Prices displayed at checkout apply to that transaction.
5. REFUND POLICY
5.1 General No-Refund Principle
Due to the digital, intangible, and instantly accessible nature of our Services, all Fees are non-refundable, except as expressly stated below or as required by non-excludable consumer protection law.
5.2 Application of Consumer Guarantees
Our Services are utilised by a variety of users, including businesses, professionals, and individuals. Where a user is deemed a 'consumer' under the Australian Consumer Law (ACL), nothing in this Policy excludes any statutory guarantee or remedy that cannot be excluded. For all users, the following are NOT considered major failures and are explicitly non-refundable: change of mind; minor issues; dissatisfaction with subjective outcomes (e.g., a risk rating in a Risk Report); failure to achieve a desired certification result; lack of use; or simply no longer needing the Service.
5.3 Refund Request Process
To request a refund under a claim of non-excludable statutory rights, you must submit a detailed written request to contact us within 14 days of the transaction, outlining the specific alleged failure. We will assess it in good faith. Our determination is final.
5.4 Specifically Non-Refundable Items
The following are explicitly non-refundable except for a proven, non-excludable major failure:
- Any delivered digital service once generation or enrolment has completed.
- Fees for an AISOF-7000 AI Model Certificate assessment once submitted (the fee is for the evaluation service and attestation, not a guaranteed outcome).
- Fees for Course Completion Certificates once issued.
- Referral Program commissions, except where clawed back due to fraud/chargeback.
- Any unused portion of a subscription period following cancellation or downgrade.
6. THE REFERRAL PROGRAM: PAYMENTS & FINANCIAL TERMS
6.1 Commission Eligibility
Commissions are earned only when a Referred User (a new, unique customer) successfully pays for a qualifying individual subscription plan — currently Starter, Pro, or Power (monthly or annual, six plans in total) — via your unique referral link. One-time certification or course fees, company wallet top-ups, Pay As You Go use, and organisation plans (Team, Workforce, Enterprise, Custom) do NOT qualify and never earn commission.
Recurring commission. A commission is earned on each successful payment made by that Referred User for as long as they remain subscribed to a qualifying plan — their first payment and every renewal thereafter. Commissions stop when the Referred User cancels, downgrades to a non-qualifying plan, or stops paying.
Payments actually received. A commission arises only from a payment we actually receive. An invoice that fails, goes unpaid, is voided, or is never issued generates no commission, including where a Referred User skips a billing period and later resumes: you earn on the periods they pay for, and only those.
Earning is open to all; being paid is not. Any Account holder may share a referral link and accrue commission without holding a paid plan themselves. Receiving a payment additionally requires approval as a Referral Partner under clause 6.4.
6.2 Commission Calculation
The Referrer earns 10% of the amount actually paid by the Referred User on each qualifying invoice, as recorded by Stripe. This is calculated on the invoice total (which may include GST) and is not reduced by payment processor fees. Commissions are calculated in whole cents, rounding down, and one commission is recorded per paid invoice.
If a particular payment is later refunded or charged back, the commission for that invoice is reversed under clause 6.5. Commissions for other invoices are unaffected.
6.3 Commission Payment, Clearance & Payout
- Clearance Period: Each commission is subject to a clearance period running from the date of the Referred User's successful payment: 60 days for a monthly invoice, and 120 days for an annual invoice (annual commissions are materially larger and the underlying payment remains disputable for longer). A commission is not payable until it has cleared.
- Payout Threshold: Payouts are processed monthly, in arrears, and only where your cleared balance is at least AUD $100. Amounts below the threshold are carried forward to a later payout run.
- Approved Partner Required: Payment is made only to a Referrer approved as a Referral Partner under clause 6.4. Commission continues to accrue in the meantime.
- Payout Details Required: You must supply valid payout (bank) details in your dashboard. Where payout details are missing or incomplete, your balance is retained and carried forward until you provide them.
- Excluded Countries: We do not make referral payments to Referrers resident in countries excluded from the Programme. The current list is shown to you before you apply, and may change; where a country is added after your approval, your partner status is suspended and no further payments are made.
- Method & Fees: Payments are made by bank transfer or another Company-designated method, and are processed manually by our staff. The Referrer is responsible for any receiving or intermediary bank fees.
- No Interest: No interest accrues on unpaid, held, or carried-forward balances.
6.4 Becoming a Referral Partner
Accruing commission requires nothing more than an Account. Being paid requires approval as a Referral Partner, which involves identity verification, a valid tax number, and a residential address in a country not excluded from the Programme.
When you may apply. The application, including identity verification, becomes available only once your cleared commission balance reaches the payout threshold in clause 6.3 — that is, once both the threshold and the applicable clearance period have been satisfied. We do this so that we do not collect identity documents or tax details from anyone who has not yet earned a payable balance. We will notify you by email when you become eligible. Until then your balance is held for you and does not expire, but it is not payable.
A refund can move you back. Because a refund, chargeback, void or credit reverses the affected commission (clause 6.5), your cleared balance can fall back below the threshold after you have become eligible. If that happens before your application is approved, payment waits until the balance is restored.
Identity verification. Identity checks are performed by Stripe Identity (Stripe, Inc.). Your identity document and selfie are submitted directly to Stripe; the Company does not receive or store those images and retains only the verification result and the structured details it returns (such as legal name, date of birth and the document's issuing country). See the Privacy Policy for detail.
Approval is discretionary. Applications are reviewed and approved manually by authorised Company staff. We may refuse or revoke approval at our discretion, including where information supplied is inaccurate, where identity cannot be verified, or where the activity on the Account is inconsistent with genuine customer referral. Providing false information in an application voids any commission accrued and may result in suspension of the Account.
Suspension. We may suspend partner status at any time, which stops payouts while retaining the commission record. Suspension is not a forfeiture in itself; the reasons for withholding, voiding or clawing back commission are set out in clauses 6.5 and 6.6.
6.5 Impact of Referred User Actions
- If a Referred User downgrades to a non-qualifying plan, cancels, or has a payment fail, commissions cease immediately for future billing cycles. Commissions already earned on prior paid invoices are unaffected.
- Reversal: If a qualifying payment is refunded, charged back, voided, or credited, the commission for that specific invoice is reversed automatically. If it had not yet been paid to you, it is simply removed from your balance.
- Negative balances: If the commission had already been paid or approved for payment, the reversal is recorded as a debit against your balance, which may take your balance below zero. A negative balance is a debt owed to the Company and is automatically offset against future commissions. We may also seek direct reimbursement, withhold payouts, or suspend Program participation.
6.6 Fraud, Abuse & Company Rights
We actively monitor for fraud (e.g., self-referral, fake accounts, VPN/proxy use) as detailed in the Acceptable Use Policy. This includes automated screening of referral and refund activity. That screening uses information we already hold, including whether a Referred User's subscription was paid using a payment instrument also used by the Referrer, whether the email addresses resolve to the same mailbox, and the IP addresses recorded at sign-up. Where activity is flagged, a payout may be placed on hold pending manual review by our staff; a held balance is not forfeited by the hold itself and is released if the review finds no abuse. Self-referral is blocked automatically. Our determination of fraud or abuse is final and binding. We reserve the absolute, unilateral right to:
- Withhold, void, reverse, or claw back all related commissions.
- Terminate the Referrer's participation and/or their entire Account.
- Seek recovery of fraudulently paid commissions and all associated costs (legal, investigative).
- Modify, suspend, or cancel the Referral Program at any time, without notice, explanation, or liability.
6.7 Independent Referrer Status & Tax Liability
Participation in the Referral Program does not constitute employment, consultancy, or a partnership with the Company. You participate as an independent referrer. You are solely and fully responsible for determining, reporting, and paying all taxes (including income tax, GST, VAT) on any commissions earned, in accordance with the laws of your jurisdiction. The Company will not withhold taxes or make superannuation contributions on your behalf unless specifically required by Australian law.
As a condition of payment you must supply a valid tax number for your jurisdiction (for example an Australian TFN or ABN) and keep it current. Where a required tax number is not held, is invalid, or you fail to update it, we may withhold payment until it is provided, or withhold amounts from a payment where law requires us to do so. Your tax number is stored encrypted and is disclosed to Company personnel only where needed to process a payment or meet a legal obligation; each such access is logged.
7. ONE-TIME PURCHASES & CERTIFICATION FEES
7.1 One-time product fees
Individual course enrolments, model certification, and policy generation are one-time Stripe card payments at checkout. They are non-refundable once the service is delivered, except as required by law.
7.2 Course Completion Certificate CERTIFICATE Fee
The fee for an Course Completion Certificate CERTIFICATE assessment is a one-time purchase for the evaluation service. The fee is non-refundable once the assessment is submitted, regardless of the resulting risk rating or whether a Certificate is issued. The Certificate is an attestation of your self-declared conformance; it is not a guarantee of safety, security, or regulatory compliance.
8. DISPUTES, CHARGEBACKS, & ACCOUNT HOLDS
8.1 Mandatory Direct Resolution – Precondition
You MUST contact us at contact us to resolve any billing dispute before initiating a chargeback. Failure to do so is a material breach of this Policy and the Master Terms.
8.2 Unfounded Chargeback Fee
Chargebacks initiated in bad faith or without first contacting us may incur an administrative fee of AUD $50 to cover our costs. This fee must be paid before any related account suspension is lifted.
8.3 Consequences of Chargebacks
Initiating a chargeback (other than for proven, unrelated payment fraud) will result in:
- Immediate hold and suspension of your Account and all Services.
- Forfeiture of any pending referral payouts.
- Reversal of any wallet funds, purchases, or certifications associated with the disputed transaction.
Reinstatement requires the chargeback to be fully reversed in our favour and all outstanding amounts paid.
9. POLICY CHANGES, LIABILITY & CONTACT
9.1 Changes to Policy
We may modify this Policy. Changes affecting existing financial obligations (e.g., subscription rates, commission %) will be communicated via email or in-Service notice at least thirty (30) days in advance. Your continued use of Paid Services after the effective date constitutes acceptance.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL AGGREGATE LIABILITY ARISING FROM PAYMENTS, REFUNDS, WALLET TOP-UPS, OR THE REFERRAL PROGRAM SHALL BE LIMITED TO THE GREATER OF (A) AUD $100, OR (B) THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE INCIDENT.
- IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.
